Innexus Service Agreement

A. Domain Setup

a. If client owns one or more domains, Innereactive Media will assist in the domain transfer process of up to two domains at the time of setup. Client will provide Innereactive Media with information for whom to contact to retrieve domain registration information as outlined in sections 2A and 2B. Innereactive Media will transfer domain(s) into their account for hosting purposes. Once transferred, Innereactive Media will manage spam communications relating to domain(s). Client will receive a notice email from Innereactive Media 60 days prior to domain expiration. If client wishes to cancel their domain name, written notice must be provided to Innereactive Media 30 days prior to the domain expiration date. Innereactive Media will automatically renew the domain name registration at least 10 days prior to expiration for two years if no communication from the client is received. Client will be responsible for the renewal cost as outlined in section 2C.
b. If client does not have a domain, Innereactive Media will:
i. Assist in selecting a suitable domain name.
ii. Register and manage your Web domain at a cost of $20.00 / year.
iii. Renew your Web domain registration at least 10 days prior to expiration.
c. If client chooses to purchase and manage domain(s) outside of Innereactive Media’s account, client is solely responsible for managing any and all domains purchased. Further, Innereactive Media is not responsible for domain renewal, or retrieving expired domain(s).
d. Domains transferred to or purchased by Innereactive Media on behalf of client will at all times be owned by client. Client reserves the right to transfer client’s domain(s) at any time without penalty or fee.

B. Email Setup

Innereactive Media will setup and manage up to five email accounts that include your Web domain.

C. Use of Email

Client agrees that all email messaging sent through our servers follows industry standard responsible messaging practices. Innereactive Media reserves the right to refuse email service to clients who abuse our systems by sending email using lists which were not obtained with the affirmative consent of every recipient. We may regularly audit client email lists, undeliverable rates, unauthorized email complaint rates, etc., and may refuse email service to any client that we suspect may be using a list which was not obtained with the affirmative consent of every recipient. We may at any time request evidence which proves that each address on a list was obtained with affirmative consent. Clients should regularly update and cleanse their lists of addresses which are not deliverable or of those who have requested to be removed from that list.

D. Semi-Custom Website Design

a. Innereactive Media will provide a gallery of non-exclusive website template designs from which to choose. Client’s logo, practice name and slogan will be integrated into the banner design by Innereactive Media.
b. Client will be responsible to add all personalized content and images into website that is NOT transferred from an existing website.
c. If client has an existing website, Innereactive Media will transfer existing content in the fields found on http://demo.getInnexus.com. Content transfer is limited to three hours of transfer time by an Innexus specialist. Transfer beyond three hours is the responsibility of client or can be performed by Innereactive Media at a rate of $100 an hour (billed in half hour increments).
d. Innereactive Media will provide one Innexus training DVD. One hour of advanced training support is available upon request. Advanced training support must be scheduled in advance within six months of website’s “live” date, can only be used once and is subject to availability.

E. Custom Content

a. If an existing website is not present, Innereactive Media will use default content and categories as seen in http://demo.getInnexus.com for the categories of:

b. Custom copy development for your pages is not included and will be billed in addition to the normal set-up amount at a rate of $100 an hour.
c. Client retains total control over renaming, deleting, and editing all content within custom content pages with the exception of the home page category label, which must remain “Home.”

F. Community Content

a. Innereactive Media will integrate content pages (including text, images, videos and flash) owned by Innereactive Media as demonstrated under the “Community Topics” and “Member Topics” areas on our demonstration website: http://demo.getInnexus.com.
b. Innereactive Media will insert specific client tokens (Client Name, Practice Name, Phone Number, Address) in select content.

G. Management System

a. Website members:
i. Automatically schedule birthday cards for members with iCard.
ii. Automatically allow members who sign in to access member’s content area.
b. Website subscribers have the option to be emailed quarterly practice newsletters through iNewsletter.
c. Administrator Access allows:
i. Adding, editing and deleting website members and subscribers. A mass upload option is also available.
ii. Emailing customized newsletters to website subscribers.
iii. Adding header and footer messages to either Innexus provided or client-written newsletters.
iv. Emailing promotions, marketing and personalized cards to members and subscribers using iCard.
v. Exporting your website members and subscribers.

H. Publicity

a. Client grants Innereactive Media the right to place its Innexus brand name, logo and hyperlinks in the footer of client’s website in a manner consistent with the demonstration website http://demo.getInnexus.com.
b. Client agrees that Innereactive Media may give announcement of client’s site design.

I. Search Engine Optimization:

a. Innereactive Media will optimize Client’s website for the three major search engines: Google, Yahoo and MSN. However, Innereactive Media cannot guarantee specific placement within any of the search engines.
b. The subscription includes access to Google Analytics, a web based statistics program that monitors website hits and keyword lookups.

J. Privacy Policy

Information that you, your website members and/or newsletter subscribers provide to Innereactive Media will be privately held in line with our privacy policy: http://www.getInnexus.com/privacy_policy.html

K. Client Content Provided

a. Client acknowledges their rights and permission to include any material that client provides to Innereactive Media, or adds independently into their Innexus website.
b. Client acknowledges responsibility of copyright and terms of use for any and all aforementioned material.

L. Payments

a. With the submission of this agreement you authorize Innereactive Media to collect a one-time, non-refundable Setup Fee outlined in the website service agreement and the first Service and Maintenance payment, billed monthly, for the length of the agreement period selected in the website application.
b. The contract period and first quarterly term begins 30 days after the agreement has been signed. Delayed domain transfers, and client content insertion lasting more than 30 days will not delay the agreement start date.
c. Before posting your website “live,” you will be given a maximum of two weeks to approve the design proof. At the completion of the two weeks, the website will begin to bill the monthly subscription regardless of its “live” status.
d. Additional Service Payments
i. Your initial subscription fee includes a single license which entitles you to add your first 2,000 website contacts.
ii. If you exceed your license, you authorize Innereactive Media to add another license (additional 1,000 contacts allowance) and increase your monthly subscription fee by $10 per month commencing on the next _
scheduled payment day and for the balance of the then-current agreement.
iii. Payment for any optional premium service is payable on confirmation of your order.
iv. Client requested edits, training or copy development required, or asked of Innereactive Media are billable at a rate of $100 an hour.
v. Before posting your website “live,” you will be given a maximum of two weeks to approve the design proof. At the completion of the two weeks, the website will begin to bill the monthly subscription regardless of its “live” status.
e. If Client chooses to terminate their contract early, Client is responsible to pay a one time retroactive set-up fee, according to original contract set-up pricing, as follows: If terminating in less than 12 months, Client is responsible for the difference between price paid and ”No Contract” set-up fee. If terminating between 12–23 months, Client responsible for the difference between price paid and“12 Month Agreement” set-up fee. If terminating between 24-35 months, Client responsible for the difference between price paid and “24 Month Agreement” set-up fee.

M. Copyrights

a. All images, text, videos, flash, and software is copyrighted to individuals or organizations as defined in: http://demo.getInnexus.com.
b. Client agrees to abide by all copyright laws for any content posted on their Innexus website.

N. Terms of Use

a. Client agrees to abide by Terms of Use: http://demo.getinnexus.com/terms_of_use.html
b. Innereactive Media reserves the right to discontinue service due to, but not limited to: publishing private, illegal, defamatory, obscene, slanderous or inappropriate materials, fraud, copyright infringement, non-payment of services and abusive use of our website and email services.
c. Although rare, websites that use an unusually high amount of server resources (over 3000 megabytes of monthly transfer, or over 200 megabytes of server storage, or using more than 5 email accounts) will be given the option to upgrade for an additional monthly cost.

O. Disclaimer

a. Any information submitted to Innereactive Media by mail, email, or entered through the administration system should be a backup or copy of the original.
b. Innexus and parent company Innereactive Media may not be held responsible in any way or for any reason for damages suffered/revenues lost through the use of our services or loss of services regardless of cause (including/not limited to: hardware failure, network outage due to loss of internet, natural disaster, terrorism, or other acts of God.)
c. Terms and conditions for use of Innexus subject to change at any time.  An email notice of any changes will be sent to the most recent email on file from the “Contact Email” field in Section 1 of this agreement.
